1. Introduction

Welcome to BuyAsATeam.com ("BuyAsATeam", the "Platform", "we", "us", or "our").

The Platform is operated by [to be completed], a company incorporated in Singapore with Unique Entity Number ("UEN") [to be completed] and registered office at [to be completed].

These Terms and Conditions ("Terms") govern your access to and use of:

  1. www.buyasateam.com;
  2. BuyAsATeam mobile applications, if any;
  3. BuyAsATeam buyer, seller and service-provider accounts;
  4. team-buying and group-purchasing services;
  5. fractional or shared-purchase facilities;
  6. referral, affiliate, membership and revenue-sharing programmes;
  7. payment, settlement and withdrawal functions;
  8. communications, content, tools and artificial-intelligence features provided through the Platform; and
  9. any other product or service that expressly incorporates these Terms.

By creating an account, accessing the Platform, clicking an acceptance button, placing or joining an order, submitting a listing, making a payment, receiving a payment or otherwise using the Platform, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not use the Platform.

Part A: General Terms

2. Important Consumer Notice

Nothing in these Terms is intended to exclude, restrict or modify any right, remedy, guarantee or protection that cannot lawfully be excluded or restricted under applicable law.

Where you are a consumer, your statutory rights under applicable consumer-protection legislation remain unaffected.

If any provision of these Terms conflicts with a mandatory consumer-protection law applicable to you, the mandatory law will prevail to the extent of the conflict.

BuyAsATeam seeks to provide transparent pricing, accurate descriptions, genuine promotional offers, appropriate disclosure of material conditions and fair procedures for refunds and disputes.

3. Definitions

For purposes of these Terms:

Buyer
means a person purchasing or seeking to purchase goods, services or interests offered through the Platform.
Seller
means a person or business offering goods or services through the Platform.
Deal
means an offer displayed through the Platform.
Team Buy
means a purchase arrangement under which multiple Buyers aggregate their purchasing demand, quantity or contributions in order to satisfy a minimum purchase requirement or obtain negotiated pricing.
Minimum Order Quantity
or "MOQ" means the minimum quantity, value or participation level required for a Team Buy to proceed.
Team
means Buyers whose purchases or purchase commitments are grouped together in relation to a Deal.
Fractional Purchase
means an arrangement through which two or more persons contribute towards the purchase of a specific asset and acquire rights in accordance with the applicable Deal Terms.
Deal Terms
means the specific terms displayed for a particular Deal, including its price, MOQ, specifications, delivery arrangements, cancellation conditions, ownership structure and other applicable information.
Platform Fee
means any amount charged by BuyAsATeam for Platform services.
Platform Markup
means an amount added to a Seller's underlying price where the commercial arrangements for a particular Deal provide for such markup.
Referral Programme
means any programme through which eligible users may receive commissions, rewards or other benefits for qualifying referrals.
Programme Rules
means supplementary terms governing a particular membership, referral, affiliate, founding-member or promotional programme.
Payment Service Provider
means a bank, payment processor, licensed payment institution, digital payment service provider or other third party used to process transactions.

4. Platform Role

BuyAsATeam operates a technology-enabled marketplace designed to facilitate transactions between Buyers and Sellers and to enable Buyers to combine purchasing power.

Depending on the particular Deal, BuyAsATeam may act as:

  1. an online marketplace connecting Buyers and independent Sellers;
  2. a technology facilitator coordinating Team Buys;
  3. an agent for limited administrative functions expressly identified in the Deal Terms;
  4. a service provider;
  5. a direct seller of specified products or services; or
  6. another role clearly disclosed before the Buyer enters into the transaction.

The identity of the contracting seller and BuyAsATeam's role should be displayed on the relevant Deal page or transaction record.

Unless a Deal expressly identifies BuyAsATeam as the seller, the contract for the underlying goods or services is between the Buyer and the applicable Seller.

BuyAsATeam is not automatically the manufacturer, importer, distributor or seller of products listed by independent Sellers.

Part B: Eligibility and Accounts

5. Eligibility

You may use transactional features of the Platform only if:

  1. you are at least 18 years old, or have otherwise attained the legal capacity required to enter into the relevant contract in your jurisdiction;
  2. you have legal capacity to enter into binding contracts;
  3. you are not prohibited by applicable law from using the Platform;
  4. you are not subject to applicable sanctions that prohibit the transaction; and
  5. the information you provide is truthful, accurate and complete.

Business users represent that the person creating or operating the account has authority to bind the relevant business.

We may restrict particular products, transactions or services based on age, location, regulatory requirements or other legal restrictions.

6. Account Registration

Some Platform services require an account.

You must:

  1. provide accurate registration information;
  2. keep your information current;
  3. maintain the confidentiality of your password and authentication credentials;
  4. protect your account from unauthorised access;
  5. promptly notify us of suspected account compromise; and
  6. not permit another person to impersonate you.

You are responsible for activity conducted through your account unless the activity results from circumstances for which applicable law provides otherwise.

We may require email, mobile telephone, identity, payment-method or other verification before allowing particular activities.

7. Identity Verification and Compliance Checks

BuyAsATeam may undertake identity verification, business verification, beneficial ownership verification, sanctions screening, fraud prevention and other risk-management procedures where reasonably necessary.

You agree to provide documentation and information reasonably required for these purposes.

We may restrict, delay, reject, reverse or investigate a transaction when reasonably necessary to:

  1. comply with applicable law;
  2. respond to a lawful request from an authority;
  3. investigate suspected fraud;
  4. prevent money laundering or terrorist financing;
  5. address sanctions concerns;
  6. protect users or the Platform;
  7. verify transaction information; or
  8. resolve a payment dispute.

Where legally permitted, restrictions will be proportionate to the identified risk.

Part C: Team Buying

8. How Team Buying Works

BuyAsATeam enables Buyers to combine their demand to obtain pricing or other commercial terms that may not be available to an individual purchaser.

A Team Buy may depend upon conditions including:

  1. a minimum number of units;
  2. a minimum aggregate purchase value;
  3. a minimum number of participating Buyers;
  4. a deadline;
  5. Seller acceptance;
  6. availability of inventory;
  7. geographic restrictions; or
  8. other conditions stated in the Deal Terms.

The applicable conditions will be displayed before purchase or commitment.

9. Conditional Team Buy Orders

A Team Buy order may initially constitute a conditional order rather than an immediately completed sale.

Where a Deal requires an MOQ or another threshold:

  1. the Buyer agrees to purchase the specified quantity if the threshold is satisfied;
  2. payment may be authorised, reserved, collected or otherwise processed as disclosed during checkout;
  3. the transaction becomes confirmed when the stated conditions are satisfied and the order is accepted; and
  4. if the conditions are not satisfied within the stated period, the order may be cancelled and qualifying amounts will be released or refunded in accordance with the applicable payment method and Deal Terms.

The Platform must not represent that a Team Buy has succeeded until applicable conditions have actually been satisfied.

10. Changes to Team Buy Quantities

Prices offered through a Team Buy may depend on aggregate quantity.

If cancellations, payment failures or other circumstances reduce the Team below the required MOQ before the Deal becomes unconditional, the Deal may:

  1. remain open for additional Buyers;
  2. be extended where the Deal Terms permit;
  3. proceed at another clearly disclosed tier with the participating Buyers' required consent where applicable; or
  4. be cancelled.

A Buyer will not be charged a higher price merely because the quantity changes unless the Buyer has been clearly informed and has agreed where consent is legally required.

11. Deal Completion

A Team Buy becomes binding when the applicable conditions specified at checkout and in the Deal Terms are satisfied.

An electronic confirmation may be issued to the Buyer.

The confirmation should identify, where applicable:

  1. the Seller;
  2. product or service;
  3. quantity;
  4. price;
  5. taxes;
  6. delivery or performance conditions;
  7. payment status;
  8. refund or cancellation rules; and
  9. relevant order number.

Part D: Fractional and Shared Purchases

12. Nature of Fractional Purchases

Certain Deals may allow Buyers to jointly purchase a specific high-value asset.

A Fractional Purchase is intended to facilitate genuine co-purchasing of an identifiable asset.

Unless expressly structured, authorised and disclosed otherwise, a Fractional Purchase offered through BuyAsATeam:

  1. is not intended to constitute a security;
  2. is not intended to constitute a unit in a collective investment scheme;
  3. is not an investment fund;
  4. is not a deposit;
  5. is not a savings product;
  6. does not guarantee capital appreciation;
  7. does not guarantee rental, investment or other income; and
  8. should not be purchased primarily in reliance on representations of financial return.

A particular Fractional Purchase may be offered only after BuyAsATeam has determined that the applicable structure may lawfully be offered in the relevant jurisdictions.

13. Deal-Specific Fractional Ownership Terms

Every Fractional Purchase should be governed by additional Deal Terms identifying, as applicable:

  1. the asset;
  2. total purchase price;
  3. ownership percentage or contractual interest acquired by each Buyer;
  4. method by which legal title will be registered;
  5. whether title is held directly, jointly, through a special-purpose entity or through another lawful arrangement;
  6. voting or decision-making rights;
  7. custody or possession arrangements;
  8. usage rights;
  9. maintenance obligations;
  10. insurance obligations;
  11. taxes and government charges;
  12. operating costs;
  13. transfer restrictions;
  14. exit procedures;
  15. dispute-resolution procedures;
  16. consequences of default by a co-owner;
  17. sale procedures;
  18. distribution of sale proceeds; and
  19. any jurisdiction-specific legal restrictions.

Where the Deal Terms conflict with these general Terms on a Deal-specific ownership matter, the Deal Terms prevail for that matter.

14. No Guaranteed Liquidity

A Fractional Purchase may be illiquid.

Unless BuyAsATeam expressly provides otherwise in writing, there is no guarantee that:

  1. another purchaser will acquire your interest;
  2. a secondary market will exist;
  3. you will be able to sell your interest when requested;
  4. you will recover the amount you paid; or
  5. the underlying asset will maintain or increase its value.

15. Regulated Investment Products

BuyAsATeam may refuse to list or facilitate an arrangement that it reasonably believes could constitute a regulated capital-markets product, collective investment scheme, security, derivative or other regulated investment unless all necessary approvals, licences, exemptions and compliance arrangements have been established.

Nothing on the Platform constitutes investment advice, financial advice or a recommendation to acquire an investment product unless expressly stated and lawfully provided by an appropriately authorised person.

Part E: Sellers

16. Seller Responsibilities

A Seller must ensure that every listing is accurate, complete and not misleading.

The Seller is responsible for:

  1. the legality of the goods or services;
  2. ownership or authority to sell;
  3. authenticity;
  4. specifications;
  5. quality;
  6. safety;
  7. regulatory approvals;
  8. product labelling;
  9. inventory;
  10. warranties;
  11. delivery;
  12. after-sales obligations;
  13. applicable taxes;
  14. import and export compliance; and
  15. compliance with consumer-protection laws applicable to the transaction.

17. Seller Pricing

A Seller must provide accurate pricing information.

A Seller must not:

  1. create fictitious reference prices;
  2. claim a discount from a price that was not genuinely offered;
  3. use misleading scarcity claims;
  4. use misleading countdown timers;
  5. conceal mandatory charges;
  6. make false claims about demand or inventory;
  7. advertise a product the Seller does not reasonably expect to supply; or
  8. manipulate the Team Buy mechanism to create artificial demand.

Where BuyAsATeam adds a Platform Markup, service fee, tax or other charge, the amount or method of calculation must be appropriately disclosed before the Buyer confirms the transaction.

18. Seller Performance

Sellers must fulfil confirmed orders within the promised period.

If no specific delivery or performance period is given, Sellers must perform within a reasonable period considering the nature of the goods or services.

Sellers must promptly inform BuyAsATeam and affected Buyers of material delays, inventory problems or inability to fulfil an order.

19. Product Safety and Compliance

Sellers must not list unsafe, recalled, counterfeit, unlawfully imported, prohibited or illegally marketed products.

Where a product is subject to mandatory standards, licences, registrations, certifications or safety requirements, the Seller must comply with those requirements.

BuyAsATeam may request supporting evidence and may suspend a listing pending verification.

Part F: Pricing, Taxes and Payment

20. Price Display

Before a Buyer commits to a transaction, the Platform will seek to provide clear information concerning material charges known to BuyAsATeam.

Depending on the transaction, the total amount may include:

  1. product price;
  2. Seller charges;
  3. Platform Markup;
  4. service fees;
  5. payment-processing charges;
  6. delivery;
  7. insurance;
  8. customs charges;
  9. GST, VAT or similar taxes; and
  10. other charges expressly disclosed.

Certain customs duties, local taxes or government charges may be imposed after purchase and may be outside BuyAsATeam's control.

21. GST and Other Taxes

Where Singapore Goods and Services Tax or another applicable tax is legally chargeable, it will be imposed in accordance with applicable law.

Buyers and Sellers remain responsible for taxes legally attributable to them.

Business Sellers must provide tax documentation required by applicable law.

22. Currency Conversion

Where transactions involve multiple currencies, exchange rates may be supplied by BuyAsATeam, a Payment Service Provider, financial institution or card network.

The applicable rate and conversion charges may differ from market reference rates.

Where practical, applicable conversion information will be displayed before payment.

23. Payment Processing

Payments may be processed by independent Payment Service Providers.

By selecting a payment method, you also agree to any lawful terms imposed by the relevant Payment Service Provider.

BuyAsATeam may use appropriately licensed or exempt payment providers where required by applicable law.

Unless expressly stated otherwise, BuyAsATeam does not represent that it operates as a bank or deposit-taking institution.

24. Customer Funds

Where funds are processed, safeguarded, reserved or temporarily held in connection with transactions, the applicable arrangement may depend on the Payment Service Provider and transaction type.

BuyAsATeam will structure payment flows in accordance with applicable regulatory requirements.

Nothing in these Terms gives BuyAsATeam the right to use customer funds for unrelated purposes where such use would be inconsistent with law or the applicable payment arrangement.

25. Payment Authorisation

By submitting payment information, you authorise the applicable Payment Service Provider and, where relevant, BuyAsATeam to process charges associated with the transaction.

You represent that you are authorised to use the selected payment method.

26. Failed Payments

If payment fails, BuyAsATeam or the Seller may:

  1. request another payment method;
  2. suspend the relevant order;
  3. remove the Buyer from a Team Buy before confirmation;
  4. cancel the transaction; or
  5. recover amounts lawfully due.

Part G: Cancellations, Returns and Refunds

27. Cancellation Rights

Cancellation rights depend on:

  1. whether the Team Buy has become unconditional;
  2. the type of product or service;
  3. applicable consumer law;
  4. the Seller's published policy;
  5. the Deal Terms; and
  6. whether performance has already begun.

Before a purchase is completed, material cancellation restrictions should be clearly disclosed.

28. Unsuccessful Team Buys

Where a Team Buy does not satisfy the required MOQ or other stated condition before the applicable deadline, affected conditional orders will ordinarily be cancelled.

Amounts collected for the unsuccessful Team Buy will be refunded, or payment authorisations released, subject to legitimate payment-processing delays and the applicable payment method.

No fee will be deducted solely because the required Team Buy threshold was not achieved unless the Buyer expressly agreed to a lawful non-refundable service charge before participating.

29. Defective or Non-Conforming Products

Nothing in these Terms eliminates rights available under applicable laws concerning goods that are defective, unsafe, materially different from their description or otherwise fail to conform to the contract.

Where applicable, remedies may include repair, replacement, price reduction, refund or another remedy required by law.

30. Refund Processing

Approved refunds will generally be returned through the original payment method where reasonably possible.

Processing periods may vary according to the bank, card network, Payment Service Provider and payment method.

BuyAsATeam must not represent that a refund has been completed before it has actually been initiated through the relevant payment channel.

31. Chargebacks

Buyers should first use the Platform's dispute process where reasonably practicable.

Nothing in these Terms prevents a Buyer from exercising legitimate rights available through a card issuer, Payment Service Provider or applicable law.

Fraudulent or abusive chargebacks may result in account restrictions.

Part H: Referral, Affiliate and Membership Programmes

32. Referral Programmes

BuyAsATeam may operate referral, affiliate, commission, discount or membership programmes.

Applicable commission rates, qualification rules and benefits will be shown in the relevant Programme Rules.

Programme benefits are earned only from qualifying transactions.

33. Referral Attribution

Referral attribution may be determined using mechanisms including:

  1. referral links;
  2. referral codes;
  3. account sponsor records;
  4. cookies;
  5. device or session data; or
  6. other disclosed attribution technology.

The applicable attribution method will be determined under the Programme Rules.

34. Commission Reversals

A commission, reward or revenue share may be reversed where the underlying transaction:

  1. is refunded;
  2. is reversed;
  3. results from fraud;
  4. results from self-referral prohibited by Programme Rules;
  5. results from account manipulation;
  6. is subject to a successful chargeback;
  7. violates these Terms; or
  8. is otherwise not a qualifying transaction.

35. No Guaranteed Earnings

Participation in a Referral Programme does not guarantee income.

Earnings depend on actual qualifying commercial activity and the applicable Programme Rules.

BuyAsATeam does not guarantee that any member will receive referrals, make sales, receive commissions or generate any particular level of income.

Historical earnings of another participant do not guarantee future results.

36. No Employment or Agency

Participation in a Referral Programme does not create:

  1. employment;
  2. partnership;
  3. franchise;
  4. joint venture;
  5. fiduciary relationship; or
  6. authority to bind BuyAsATeam.

Participants must not represent themselves as employees or authorised representatives of BuyAsATeam unless separately appointed in writing.

37. Marketing Conduct

Users promoting BuyAsATeam must:

  1. make truthful representations;
  2. clearly disclose referral relationships where required;
  3. avoid misleading earnings claims;
  4. avoid false urgency;
  5. avoid spam;
  6. obtain consent where required before sending marketing communications;
  7. comply with applicable privacy and direct-marketing requirements; and
  8. stop communications where legally required.

38. Founding Member or Similar Programmes

Where BuyAsATeam operates a Founding Member programme or similar programme, eligibility, referral allocations, revenue-sharing calculations, qualification requirements and applicable limits will be governed by the Programme Rules displayed for that programme.

Unless expressly and lawfully structured otherwise, membership status:

  1. does not constitute ownership of shares in BuyAsATeam;
  2. does not make the member a shareholder;
  3. does not create a security or investment product;
  4. does not confer voting rights in BuyAsATeam;
  5. does not guarantee income; and
  6. does not create an entitlement to company assets.

Any actual offer of company shares, securities or regulated investment products must be governed by separate legally compliant documentation.

Part I: Prohibited Activities

39. General Prohibited Conduct

You must not:

  1. use the Platform unlawfully;
  2. commit fraud;
  3. impersonate another person;
  4. submit false identity information;
  5. manipulate Team Buy participation;
  6. create fake transactions;
  7. artificially generate commissions;
  8. interfere with Platform security;
  9. introduce malware;
  10. scrape the Platform contrary to applicable law or our express restrictions;
  11. circumvent access controls;
  12. infringe intellectual-property rights;
  13. harass other users;
  14. misuse personal information;
  15. conduct unauthorised financial services;
  16. facilitate money laundering;
  17. finance terrorism;
  18. evade economic sanctions;
  19. sell counterfeit goods; or
  20. engage in conduct that creates unreasonable legal, security or reputational risk for the Platform.

40. Restricted Products

BuyAsATeam may prohibit or restrict categories including:

  1. illegal drugs;
  2. counterfeit goods;
  3. stolen property;
  4. illegal weapons;
  5. explosives;
  6. human trafficking-related products or services;
  7. unlawful pornography;
  8. unlawful gambling services;
  9. endangered wildlife products;
  10. products violating sanctions;
  11. fraudulent financial products;
  12. unsafe or recalled consumer products; and
  13. any other product prohibited by applicable law or Platform policy.

Certain lawful but regulated products may require additional approval.

Part J: International Transactions

41. Cross-Border Commerce

BuyAsATeam may facilitate transactions between users in different countries.

Users are responsible for complying with laws applicable to them, including:

  1. import restrictions;
  2. export controls;
  3. sanctions;
  4. customs rules;
  5. taxes;
  6. product certification;
  7. consumer laws; and
  8. local licensing requirements.

Availability of a listing in a particular country does not constitute a representation that the product may lawfully be imported into every location.

42. Customs and Import Charges

Unless stated otherwise, Buyers are responsible for customs duties, import VAT, clearance charges and similar destination-country charges.

Where BuyAsATeam or a Seller offers a delivered-duty-paid arrangement, that fact should be expressly stated in the Deal Terms.

Part K: Privacy and Communications

43. Personal Data

Personal information is handled in accordance with the BuyAsATeam Privacy Policy and applicable data-protection laws.

The Privacy Policy forms part of the contractual framework governing your use of the Platform.

Where applicable, BuyAsATeam will implement appropriate measures concerning:

  1. notification of purposes;
  2. consent where required;
  3. appropriate use and disclosure;
  4. accuracy;
  5. protection;
  6. retention;
  7. cross-border transfers;
  8. access and correction;
  9. data-breach response; and
  10. accountability.

44. Electronic Communications

You agree that contractual notices, receipts, invoices, order confirmations and other communications may be provided electronically unless applicable law requires another method.

Electronic acceptance may constitute legally binding acceptance where permitted by applicable law.

You should retain copies of important transaction records.

45. Marketing Communications

Marketing communications will be sent in accordance with applicable law.

Where required, users may withdraw marketing consent or unsubscribe using the method provided.

Transactional and legally required service messages may still be sent where permitted by law.

Part L: Intellectual Property and Content

46. BuyAsATeam Intellectual Property

Unless otherwise stated, the Platform, software, design, trademarks, branding, text, databases and proprietary technology are owned by or licensed to BuyAsATeam.

No ownership rights are transferred merely through use of the Platform.

47. User Content

Users may submit listings, images, reviews, descriptions, comments or other content.

You retain ownership of intellectual-property rights you lawfully hold in your content.

You grant BuyAsATeam a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, translate and otherwise use that content to operate, market and improve the Platform, subject to applicable privacy laws.

You represent that you have the rights necessary to provide the content.

48. Reviews

Reviews must reflect genuine experiences.

Users must not:

  1. submit fake reviews;
  2. purchase positive reviews;
  3. knowingly make false statements;
  4. threaten another user with a negative review to obtain an improper benefit; or
  5. manipulate rating systems.

BuyAsATeam may moderate content for compliance with Platform policies while seeking not to misrepresent genuine consumer feedback.

Part M: Artificial Intelligence

49. AI Features

BuyAsATeam may use artificial intelligence for functions including:

  1. search;
  2. recommendations;
  3. translation;
  4. fraud detection;
  5. customer support;
  6. listing assistance;
  7. price or demand analytics;
  8. product matching; and
  9. administrative automation.

AI-generated information may contain errors.

Users should independently verify information that is important to a purchasing, legal, financial, technical or safety decision.

Material decisions that legally require human review will not be delegated solely to automated systems where prohibited by law.

Part N: Platform Availability

50. Service Availability

We aim to maintain reliable Platform availability but do not guarantee uninterrupted access.

The Platform may be temporarily unavailable because of:

  1. maintenance;
  2. security incidents;
  3. infrastructure failure;
  4. telecommunications interruptions;
  5. Payment Service Provider outages;
  6. legal requirements; or
  7. events outside our reasonable control.

51. Changes to Features

BuyAsATeam may modify Platform features where reasonably necessary for:

  1. security;
  2. regulatory compliance;
  3. technological improvements;
  4. fraud prevention;
  5. operational efficiency; or
  6. commercial development.

Changes will not retrospectively remove accrued statutory rights.

Part O: Suspension and Termination

52. Account Suspension

We may suspend or restrict an account where reasonably necessary because of:

  1. suspected fraud;
  2. material breach of these Terms;
  3. illegal activity;
  4. sanctions concerns;
  5. security risk;
  6. payment disputes;
  7. misuse of referral programmes;
  8. repeated Seller-performance failures; or
  9. legal or regulatory requirements.

Where appropriate and legally permitted, users will be informed of the reason and provided with an opportunity to respond.

53. Account Closure

Users may request account closure subject to:

  1. completion of outstanding transactions;
  2. resolution of disputes;
  3. payment of amounts legitimately due;
  4. retention obligations required by law; and
  5. necessary fraud and compliance records.

Account closure does not extinguish obligations arising before closure.

Part P: Disclaimers and Liability

54. Seller Information

For third-party listings, BuyAsATeam may rely on information supplied by Sellers.

We may review or verify information but do not guarantee that every third-party statement is accurate.

This does not limit responsibility imposed on BuyAsATeam by applicable law.

55. No Absolute Warranty

To the maximum extent permitted by applicable law, the Platform is provided subject to the express terms stated on the Platform and any statutory rights that cannot lawfully be excluded.

BuyAsATeam does not guarantee that:

  1. every Team Buy will reach its MOQ;
  2. every Seller will receive a particular sales volume;
  3. every Buyer will obtain the lowest price available anywhere;
  4. every Fractional Purchase will increase in value; or
  5. every referral participant will earn commissions.

56. Non-Excludable Liability

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

In particular, nothing is intended to exclude liability where it cannot lawfully be excluded, including liability arising from fraud, fraudulent misrepresentation or other liability that applicable law requires to remain unrestricted.

57. Limitation of Liability

Subject to Section 56 and applicable law, BuyAsATeam will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable as a result of the relevant breach.

For non-consumer users and to the maximum extent permitted by law, BuyAsATeam's aggregate liability arising from Platform services during any twelve-month period will ordinarily not exceed the greater of:

  1. the fees paid directly to BuyAsATeam by that user in connection with the matter giving rise to the claim during the preceding twelve months; or
  2. SGD [to be completed].

This limitation does not apply where prohibited by law.

Nothing in this Section reduces mandatory consumer rights.

58. Seller Liability

An independent Seller remains responsible for its own:

  1. products;
  2. services;
  3. descriptions;
  4. warranties;
  5. regulatory compliance;
  6. delivery obligations;
  7. taxes; and
  8. contractual commitments.

This provision does not remove any legal responsibility that applies independently to BuyAsATeam.

Part Q: Indemnity

59. Business User Indemnity

To the extent permitted by law, a business Seller or other business user agrees to indemnify BuyAsATeam against reasonable losses, liabilities and costs arising directly from:

  1. that user's unlawful conduct;
  2. infringement of third-party intellectual-property rights;
  3. unsafe or illegal products supplied by that user;
  4. deliberate fraud;
  5. material breach of these Terms; or
  6. breach of regulatory obligations attributable to that user.

Any indemnity is subject to applicable law and applicable standards of reasonableness.

Consumer users are not required to provide an indemnity beyond what may lawfully and fairly be imposed under applicable consumer law.

Part R: Disputes

60. Buyer and Seller Disputes

Where a dispute concerns an independent Seller's product or service, the parties should first attempt resolution through BuyAsATeam's dispute-resolution facility.

BuyAsATeam may:

  1. request evidence;
  2. facilitate communication;
  3. propose a resolution;
  4. restrict payment release where contractually and legally permitted; or
  5. take action under Seller policies.

Unless expressly agreed otherwise, BuyAsATeam's facilitation does not make BuyAsATeam the legal decision-maker for disputes exclusively between independent Buyers and Sellers.

61. Complaints to BuyAsATeam

Users should include relevant transaction numbers, supporting documentation and the remedy requested.

62. Consumer Rights to External Redress

Nothing in these Terms prevents a consumer from seeking assistance from an appropriate consumer-protection body, regulator, payment provider or court where legally entitled to do so.

Part S: Governing Law

63. Singapore Law

These Terms and any non-contractual obligations arising from them are governed by the laws of Singapore, subject to mandatory consumer-protection rights that may apply in a user's country of residence.

64. Singapore Courts

Subject to applicable mandatory consumer law, the courts of Singapore will have jurisdiction over disputes arising from these Terms.

Before commencing litigation, the parties are encouraged to attempt good-faith negotiation or mediation where appropriate.

Nothing in this clause prevents BuyAsATeam from seeking urgent injunctive or protective relief where legally permitted.

Part T: Other Legal Provisions

65. Entire Agreement

These Terms, together with applicable:

  1. Deal Terms;
  2. Privacy Policy;
  3. Seller Terms;
  4. Refund and Returns Policy;
  5. Programme Rules;
  6. prohibited-product policies; and
  7. other policies expressly incorporated by reference,

form the agreement governing the relevant Platform activity.

66. Priority of Terms

If different contractual documents conflict, the following order ordinarily applies:

  1. mandatory applicable law;
  2. Deal-specific terms expressly agreed for the transaction;
  3. Programme Rules for the applicable programme;
  4. these Terms; and
  5. general informational website content.

A document may expressly establish a different priority where legally permissible.

67. Severability

If any provision is determined to be unlawful, invalid or unenforceable, it will be modified to the minimum extent necessary to make it lawful where legally permissible.

If modification is not possible, the affected provision will be severed without affecting the remaining provisions.

68. No Waiver

Failure to enforce a provision on one occasion does not waive the right to enforce it later.

69. Assignment

Users may not assign contractual rights or obligations under these Terms without BuyAsATeam's consent where such consent may lawfully be required.

BuyAsATeam may assign its rights and obligations as part of a legitimate restructuring, merger, acquisition or transfer of the Platform, provided that the assignment does not unlawfully reduce consumer rights.

70. Third-Party Rights

Except where expressly provided otherwise, a person who is not a party to these Terms has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 2001 of Singapore.

This clause does not affect rights that exist independently under applicable law.

71. Force Majeure

No party will be treated as having breached an obligation, other than an obligation to pay money already due, to the extent performance is prevented by circumstances beyond its reasonable control, including:

  1. natural disasters;
  2. war;
  3. civil disorder;
  4. epidemic or pandemic restrictions;
  5. government action;
  6. widespread telecommunications outages;
  7. major cyber incidents;
  8. transportation disruption; or
  9. failures of essential infrastructure.

The affected party must take reasonable measures to mitigate the impact.

Consumer refund rights arising under mandatory law remain unaffected.

72. Amendments to These Terms

BuyAsATeam may update these Terms to reflect:

  1. changes in law;
  2. regulatory requirements;
  3. new Platform functionality;
  4. security improvements;
  5. changes to business operations; or
  6. clarification of existing provisions.

The latest version will state its effective date.

Where a change materially affects existing contractual rights, BuyAsATeam will provide reasonable notice where required or appropriate.

Changes will not ordinarily apply retrospectively to completed transactions unless required by law or expressly agreed.

73. Language

These Terms may be translated into multiple languages.

Unless prohibited by applicable law, the English version is the governing version where a translation contains a material inconsistency.

Consumer information required by local law may be provided in the language required by that law.

74. Electronic Agreement

You agree that clicking buttons such as:

"I Agree", "Accept", "Join Team", "Buy", "Pay", "Confirm Order", "List Deal"

or equivalent electronic actions may constitute your electronic acceptance of the applicable contract.

Transaction records may be retained electronically in accordance with applicable law and the BuyAsATeam Privacy Policy.

Part U: Regulatory Position

75. Payment Services

BuyAsATeam will not knowingly conduct an activity requiring a licence under applicable payment-services legislation without obtaining the necessary licence, exemption or appropriate regulated service-provider arrangement.

Where regulated payment activity is conducted by a third-party Payment Service Provider, that provider's regulatory status and terms may separately apply.

76. Financial and Investment Services

Unless expressly stated otherwise, BuyAsATeam is a commerce and marketplace platform and does not provide:

  1. investment advice;
  2. securities dealing;
  3. fund management;
  4. banking;
  5. deposit-taking;
  6. financial planning; or
  7. regulated investment recommendations.

A transaction that could constitute a regulated investment activity may be restricted or subject to separate eligibility requirements and legal documentation.

77. Anti-Money Laundering, Terrorism Financing and Sanctions

Users may not use BuyAsATeam to conceal criminal proceeds, facilitate money laundering, finance terrorism, evade sanctions or otherwise violate applicable financial-crime laws.

BuyAsATeam may cooperate with competent authorities and Payment Service Providers where legally required.

We may retain or disclose information where legally required to investigate or report suspicious conduct.
